Terms of Service

Sponsy Ltd. ("Sponsy," "we," "us," or "our") provides the Sponsy platform, including the marketing website at sponsyai.com, the Publisher Portal at app.sponsyai.com, the Serving API at api.sponsyai.com, and related SDK packages (@sponsy/sdk-js, @sponsy/sdk-react) (collectively, the "Services").

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not accept these Terms, you may not access or use the Services.

2. Description of Services

Sponsy is a monetization layer for AI chatbots and conversational applications. Our platform enables chatbot owners ("Publishers") to embed a lightweight SDK that:

  • detects commercial/purchase intent in conversation context,
  • displays clearly labeled, in-chat sponsored messages (which may include affiliate offers and/or direct advertiser offers), and
  • provides analytics, controls, and revenue payouts (where applicable).

Core principles (product behavior):

  • Sponsored messages are clearly disclosed (see Section 6).
  • Sponsored messages are visually separated from the chatbot's organic response.
  • Sponsy does not modify the bot's organic answer text.

3. Publisher Accounts

To use the Services as a Publisher, you must:

  • create an account via the Publisher Portal (app.sponsyai.com),
  • provide accurate and up-to-date information (including email and, if provided, company details),
  • create one or more workspaces representing your chatbot applications,
  • generate and securely store API keys for SDK integration, and
  • configure ad/sponsored-message policies such as category preferences and pacing/frequency rules.

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

4. SDK Integration Requirements

When integrating our SDK/API, Publishers must:

  • follow our official integration documentation and guidelines,
  • ensure sponsored messages retain Sponsy's disclosure labeling as provided,
  • not remove, obscure, minimize, or misplace labeling such as "Sponsored" or "Ad",
  • restrict SDK usage to allowed domains configured in workspace settings (where supported), and
  • not engage in click fraud, impression fraud, conversion fraud, or any deceptive practices.

5. Revenue Share and Payments (Publishers)

Publishers receive 70% of eligible revenue generated through their integrated chatbot applications. Sponsy retains 30% as platform fees.

Payment terms:

  • Payment Method: PayPal Payouts API
  • Payment Schedule: Monthly (typically on the 1st of each month)
  • Minimum Threshold: $50 USD (may be configurable)
  • Currency: USD

Revenue may flow through states such as Pending (conversion received), Confirmed (conversion approved), and Paid (payout completed). Final revenue and payouts may be adjusted due to refunds, chargebacks, invalid traffic, or partner/network adjustments.

6. Mandatory Disclosure (IL + US)

To comply with Israeli consumer protection law and U.S. FTC advertising/endorsement rules, all sponsored messages must be clearly disclosed.

Product and policy requirements:

  • Every sponsored message is automatically labeled "Sponsored" and/or "Ad" (and may also include Hebrew equivalents such as "מודעה" / "מודעה ממומנת" when applicable).
  • If an affiliate mechanism is used, a short disclosure may appear, such as: "We may earn a commission."
  • Publishers must not interfere with these disclosures.

7. No Deceptive Advertising / No "Hidden Ads"

You agree not to mislead end users, including by:

  • presenting a sponsored message as part of the organic chatbot answer,
  • implying the sponsored message is neutral advice when it is paid/sponsored, or
  • using UI/formatting that makes sponsored messages indistinguishable from organic content.

Sponsored message text must not be false, misleading, or unlawful. Where applicable, the sponsored message content originates from the advertiser and/or the underlying offer source (including affiliate networks).

8. Prohibited Categories and Sensitive Products

Certain categories may be prohibited or restricted due to regulatory and safety requirements (in Israel and the U.S.). Examples may include (without limitation): nicotine/tobacco, gambling, alcohol, adult content, illegal drugs, weapons, unlicensed medical claims, and high-risk financial schemes.

Sponsy may block any category, advertiser, offer, or content at any time, and Publishers may be able to block categories/brands via controls where available.

9. Intent Detection and Privacy (High-Level)

Sponsy analyzes conversation context to detect commercial intent and determine eligibility for sponsored messages. Our privacy principles include:

  • No PII collection of end users (no names, emails, or direct identifiers),
  • Minimal context processing (only what's needed for intent and serving),
  • No full transcript storage (complete conversation histories are not stored; analytics are aggregated), and
  • session-based processing (real-time processing; limited retention beyond what's needed for security, debugging, and aggregated reporting).

10. Prohibited Conduct

You agree not to:

  • use the Services for illegal or unauthorized purposes,
  • generate fake impressions, clicks, or conversions (including through bots or incentivized activity without approval),
  • interfere with or disrupt the Services or infrastructure,
  • attempt to reverse engineer, decompile, or bypass security of the SDK/API,
  • transmit malware, viruses, or harmful code,
  • impersonate any person or entity, or
  • access other Publishers' workspaces or data without authorization.

11. Intellectual Property

The Services (including the Publisher Portal, Admin Console, SDK, API, software, designs, and documentation) are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services without our written consent.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SPONSY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY REVENUE, CONVERSIONS, OR PERFORMANCE OUTCOMES WILL OCCUR.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPONSY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

14. Termination

We may terminate or suspend your access to the Services at any time, without prior notice, for breach of these Terms or for suspected fraud/abuse. Upon termination:

  • your API keys may be revoked,
  • access to the Publisher Portal may be disabled, and
  • pending balances may be paid out according to our standard schedule, subject to fraud/invalid traffic review and applicable adjustments.

15. Changes to Terms

We may modify these Terms at any time by posting revised terms on sponsyai.com. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Israel. Any disputes shall be resolved in the courts of Tel Aviv, Israel.
