1. Acceptance of Terms

Sponsy Ltd. ("Sponsy," "we," "us," or "our") provides the Sponsy platform, including the website at sponsyai.com, the Publisher Portal at app.sponsyai.com, the Serving API at api.sponsyai.com, and related SDK packages (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these terms, you shall not access or use the Services.

2. Description of Services

Sponsy is a monetization layer for AI chatbots and conversational applications. Our platform enables chatbot owners ("Publishers") to embed a lightweight SDK that:

  • Detects commercial intent in user conversations
  • Displays native, in-chat sponsored affiliate recommendations
  • Provides full analytics, controls, and revenue payouts

Core Promise: We show highly relevant native recommendations inside the chatbot only when the user shows real purchase intent, so monetization happens without disrupting the chat experience.

3. Publisher Accounts

To use our Services as a Publisher, you must:

  • Create an account via the Publisher Portal (app.sponsyai.com)
  • Provide accurate account information including email and company details
  • Create one or more Workspaces representing your chatbot applications
  • Generate and securely store API keys for SDK integration
  • Configure ad policies including category preferences and pacing rules

4. SDK Integration Requirements

When integrating our SDK, Publishers must:

  • Follow our official documentation and integration guidelines
  • Display affiliate recommendations with proper disclosure labels as provided by Sponsy
  • Not remove, obscure, minimize, or misplace labeling such as "Sponsored" or "Ad"
  • Ensure the SDK is only called from allowed domains configured in Workspace settings
  • Not engage in click fraud, impression fraud, or any deceptive practices

5. Revenue Share and Payments

Publishers receive 70% of all affiliate revenue generated through their integrated chatbot applications. Sponsy retains 30% as platform fees.

Payment terms:

  • Payment Method: PayPal Payouts API
  • Payment Schedule: Monthly (1st of each month)
  • Minimum Threshold: $50 USD (configurable)
  • Currency: USD

Revenue flows through three states: Pending (conversion received), Confirmed (conversion approved by affiliate network), and Paid (payout completed).

6. Affiliate Disclosure

The Services display affiliate recommendations within chatbot conversations. When users click these recommendations and make purchases, both Sponsy and the Publisher may receive commissions from affiliate networks.

All affiliate recommendations are labeled with appropriate disclosures such as "Sponsored" or "Ad". Publishers must not interfere with these disclosures.

7. Intent Detection and Privacy

Our platform analyzes conversation context to detect commercial intent. We adhere to the following privacy principles:

  • No PII Collection: We do not collect personal information of end users
  • Minimal Context: Only necessary conversation context is processed
  • No Full Transcripts: We do not store complete conversation histories
  • Privacy-Safe: All processing is designed to be privacy-preserving

8. Prohibited Conduct

You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Generate fake impressions, clicks, or conversions
  • Interfere with or disrupt the Services or servers
  • Attempt to reverse engineer or decompile our SDK or API
  • Transmit malware, viruses, or harmful code
  • Impersonate any person or entity
  • Access other Publishers' workspaces or data

9. Intellectual Property

The Services, including the Publisher Portal, Admin Console, SDK, API, and all related software, text, graphics, and documentation are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

10. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SPONSY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

IN NO EVENT SHALL SPONSY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

11. Termination

We may terminate or suspend your access to the Services at any time, without prior notice, for breach of these Terms. Upon termination:

  • Your API keys will be revoked
  • Access to the Publisher Portal will be disabled
  • Pending balances will be paid out according to our standard schedule

12. Changes to Terms

We may modify these Terms at any time by posting the revised terms on the Site. Your continued use of the Services after such changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Israel. Any disputes shall be resolved in the courts of Tel Aviv, Israel.
